1Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you (the "Client") and Visible Digital Media (the "Agency"). By visiting our website, requesting a quote, signing a proposal, paying any invoice, or engaging us in any service relationship, you acknowledge that you have read, understood, and agreed to be bound by these terms of service in their entirety. If you do not agree with any part of these terms of service, you must not use our services. Our terms of service also align with FTC online advertising and marketing guidelines which govern all U.S. marketing service providers.

2Services Provided

Under these terms of service, Visible Digital Media provides a complete range of digital marketing services to small and medium businesses across the United States, including but not limited to:

• Website design and development on WordPress, Shopify, Wix, Squarespace, and other platforms
• Search engine optimization (SEO) including local SEO, technical SEO, on page SEO, and link building
• Pay per click advertising including Google Ads, Bing Ads, Meta Ads, and TikTok Ads
• Social media content creation, posting, and community management
• Short form video production for TikTok, Reels, Facebook, and Google Business Profile
• Branding services including logo design, brand identity, and visual systems
• Content writing including blog posts, web copy, email campaigns, and product descriptions
• Google account setup and management (Business Profile, Workspace, Tag Manager, Analytics 4, Cloud, Merchant Center)
• Custom CRM systems built on Google Sheets with form integration and automation
• Business intelligence dashboards and Looker Studio analytics
• Website care plans including hosting management, backups, security, and maintenance
• Tech consulting, audits, and growth strategy services

Specific deliverables, timelines, and scope are defined in your individual project proposal or service agreement.

3Website and Asset Ownership

Per these terms of service, upon receipt of full payment for a completed project phase, the Client owns 100% of the deliverables produced by Visible Digital Media for that phase, including final website files, design assets, written content, and access credentials. Visible Digital Media retains no ownership rights over completed and paid for client deliverables.

Clients are free to host their website with any provider, transfer to another agency, or manage independently after project completion. We will provide all necessary files and credentials within 5 business days of final payment.

Pre payment ownership: Until full payment is received for a phase or service, all design files, code, content drafts, and intellectual property remain the sole property of Visible Digital Media. Use of unpaid for materials by the Client constitutes copyright infringement.

4Payment Terms

The following payment terms of service apply unless modified in writing in your specific service agreement.

Project based services (websites, branding, video, setup work):

• 50% non refundable deposit required before any work begins
• Remaining balance billed by milestone phases as outlined in your proposal
• Final payment due before website launch or final asset delivery
• Each invoice is due within 7 calendar days of issue date

Recurring monthly services (SEO, social, care plans, ads management, CRM maintenance):

• Billed monthly in advance on the same date each month
• First month payment due before services begin
• Auto charge enabled by default for ongoing services
• Payment due within 7 calendar days of invoice issue

Late payment consequences:

• Late fee of 1.5% per month (18% annual) on overdue balances
• Services suspended after 14 days past due
• Account terminated and collections initiated after 30 days past due
• Client responsible for all collection costs, attorney fees, and court costs

5No Refund Policy

Under these terms of service, all payments to Visible Digital Media are final and non refundable once work has commenced. This includes deposits, milestone payments, monthly service fees, and any other amounts paid for services rendered or in progress.

This policy exists because:

• Custom design and development work cannot be resold to another client
• Time invested in research, strategy, and creative work cannot be recovered
• Third party costs (stock photos, fonts, plugins, hosting fees) are paid upfront and non refundable
• Monthly SEO and marketing services produce cumulative results over time

Instead of refunds, we offer:

• Milestone Approval: You approve each phase before we move to the next. If something is wrong, we fix it within the included revision rounds (see Section 6) before you pay for the next phase
• Fix Free Promise: If we genuinely fail to deliver what was specified in your written proposal, we will fix it at no additional cost until it matches the specification
• Cancellation Rights: You can cancel future monthly services with proper notice (Section 7) — no refunds for past or current month services

6Revisions and Change Requests

These terms of service include specific revision allowances. Each project milestone or phase includes a specific number of free revision rounds. Beyond these included rounds, additional changes are billed at our standard hourly rate.

Included revisions per project type:

• Website design: 2 revision rounds per phase (homepage, inner pages, final review)
• Branding and logo: 2 revision rounds on selected concept
• Video production: 2 revision rounds per video
• Content writing: 2 revision rounds per piece
• Social media posts: 1 revision round per post before scheduling

What counts as a revision vs. a change request:

• Revision (free, included): Adjustments to work already delivered that align with the original specification (color tweaks, copy edits, layout fine tuning)
• Change request (billed hourly): Additions, removals, or modifications outside the original scope (new pages, features not in proposal, redesigns after approval, complete rewrites)

Additional revisions and change requests are billed at $95 per hour with a 30 minute minimum. We will provide a written estimate before starting any billable work, and you must approve in writing before we proceed.

7Monthly Services and Cancellation

Under these terms of service, all monthly recurring services operate on a month to month basis. There are no long term contracts unless explicitly agreed in writing.

Cancellation requirements:

• Written notice required via email to [email protected]
• 15 days notice required for next month cancellation (notice given by the 15th of the month cancels services starting the 1st of the next month)
• Notice given after the 15th means one additional month of service will be billed and delivered
• No partial month refunds for any reason
• Final deliverables (reports, content, access transfers) provided within 5 business days of the cancellation effective date

SEO commitment recommendation: SEO requires time to produce results. We recommend a minimum 6 month commitment to allow proper foundation building, but services remain technically month to month and can be cancelled at any time with proper notice.

8Client Responsibilities

To deliver successful results under these terms of service, we need active client participation. By engaging our services, you agree to:

• Provide accurate, complete business information, branding assets, and content within agreed timelines
• Review and approve deliverables within 7 business days. After 7 days without feedback, deliverables are considered approved by default
• Maintain active hosting, domain registration, and any required third party software subscriptions
• Grant administrative access to required platforms (Google Analytics, Google Ads, Meta Business, social media accounts, hosting, etc.) as needed
• Respond to inquiries, approval requests, and information needs within 3 business days
• Not use our services for unlawful, fraudulent, deceptive, or harmful purposes
• Not engage in industries we do not serve (adult content, gambling, illegal substances, multi level marketing schemes, content that promotes hate or violence)
• Pay all invoices on time per the terms in Section 4

Project delays caused by client: If client delays in providing content, feedback, or approvals exceed 30 days, we reserve the right to pause the project and require additional setup fees to resume. Long term inactivity (over 90 days) may result in project termination with no refund of paid amounts.

9Advertising Budgets and Third Party Costs

All paid advertising budgets (Google Ads, Meta Ads, TikTok Ads, etc.) are managed directly through the Client's own advertising accounts. Visible Digital Media never holds, controls, or manages client ad spend funds.

• Our PPC management fee covers strategy, setup, optimization, and reporting only
• Client is responsible for funding their own ad accounts directly with the advertising platforms
• Client retains 100% control over ad budgets and can pause or stop spending at any time
• Third party costs including stock photos, premium plugins, fonts, hosting fees, domain renewals, software subscriptions, and Google service fees (Workspace, Maps API, Cloud) are billed separately or paid directly by the Client

10SEO and Marketing Results Disclaimer

Under these terms of service, search engine optimization, paid advertising, and social media results vary significantly based on factors outside our control including market competition, industry, geographic area, search engine algorithm changes, ad platform policy changes, seasonal trends, economic conditions, and Client business operations. We adhere strictly to Google's spam policies and search quality guidelines, which means we never use black hat tactics that could result in penalties.

Visible Digital Media does NOT guarantee:

• Specific search engine rankings or positions
• Specific traffic volumes or visitor numbers
• Specific lead quantities, sales, or revenue increases
• Page one rankings on Google or any search engine
• Maintenance of rankings after services end

What we DO commit to:

• Implementing industry best practices and proven SEO strategies
• Following Google Search Essentials and platform terms of service
• Providing transparent monthly reporting on all measurable metrics
• Continuous optimization based on performance data

Any rankings, traffic estimates, or projections shared during sales conversations are illustrative possibilities, not guarantees. Past performance does not guarantee future results.

11Intellectual Property

Upon full payment of the corresponding phase, all custom design work, copywriting, code, and graphics created specifically for the Client become the Client's property. However, the following exceptions apply:

• Stock assets: Stock photos, fonts, video clips, and music used in projects are licensed under their respective providers and may have continued usage requirements
• Pre existing tools: Templates, frameworks, code libraries, and methodologies developed by Visible Digital Media before your project remain our property and are licensed for your use
• Open source software: WordPress, plugins, themes, and other open source tools remain governed by their original licenses
• Portfolio rights: Visible Digital Media retains the right to display completed work in our portfolio, case studies, social media, and marketing materials unless the Client requests otherwise in writing before project start

12Limitation of Liability

To the maximum extent permitted by applicable law and per these terms of service:

• Visible Digital Media's total liability for any claim arising from our services is strictly limited to the total fees paid by the Client in the 3 months immediately preceding the claim
• We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages including but not limited to lost profits, lost revenue, business interruption, loss of data, or loss of goodwill
• We are not liable for damages caused by third party platforms, software bugs, hosting outages, internet connectivity issues, or events beyond our reasonable control
• We are not liable for damages resulting from Client provided content, Client decisions, or Client failure to follow our recommendations
• We are not liable for changes in search engine algorithms, ad platform policies, or social media platform changes that affect performance

Some jurisdictions do not allow certain liability limitations. In such cases, our liability is limited to the maximum extent permitted by law.

13Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the service relationship. This includes but is not limited to:

• Business strategies, plans, and goals
• Customer lists, lead data, and sales pipelines
• Financial information including revenue, margins, and budgets
• Trade secrets, proprietary processes, and competitive information
• Any information marked "confidential" or that a reasonable person would treat as confidential

This confidentiality obligation survives termination of the service relationship and continues for 3 years thereafter. We may disclose information only if required by law, court order, or with explicit written permission.

14Indemnification

The Client agrees to indemnify, defend, and hold harmless Visible Digital Media, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Client provided content that infringes copyright, trademark, or other intellectual property rights
• Client provided false, misleading, or illegal information used in marketing materials
• Client violation of any laws, regulations, or third party rights
• Client breach of these Terms of Service
• Misuse of services delivered by Visible Digital Media

15Governing Law and Dispute Resolution

These terms of service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms of service or our services shall be resolved as follows:

• Step 1: Good faith written communication to attempt resolution within 30 days
• Step 2: Mediation through a mutually agreed mediator if direct resolution fails
• Step 3: Binding arbitration if mediation fails, conducted under American Arbitration Association rules

The Client waives any right to participate in class action lawsuits against Visible Digital Media. If any provision of these terms is found unenforceable, the remaining provisions remain in full force and effect.

16Changes to These Terms

We reserve the right to modify these terms of service at any time to reflect changes in our services, legal requirements, or business practices. When we make material changes:

• The "Last Updated" date at the top of this page will be updated
• Active clients will be notified via email at least 14 days before changes take effect
• Continued use of our services after changes constitutes acceptance of updated terms
• Clients who do not agree to changes may cancel services per Section 7

1Aceptación de Términos

Estos Términos de Servicio constituyen un acuerdo legalmente vinculante entre tú (el "Cliente") y Visible Digital Media (la "Agencia"). Al visitar nuestro sitio, solicitar una cotización, firmar una propuesta, pagar cualquier factura o contratarnos, reconoces que has leído, entendido y aceptado estos términos en su totalidad. Si no estás de acuerdo con alguna parte, no debes usar nuestros servicios.

2Servicios Proporcionados

Visible Digital Media proporciona servicios completos de marketing digital para pequeños y medianos negocios en EE.UU., incluyendo: diseño y desarrollo web, SEO, publicidad PPC, redes sociales, producción de video, branding, redacción de contenido, configuración de cuentas Google, sistemas CRM, dashboards de analítica, planes de mantenimiento web, consultoría tecnológica y estrategia de crecimiento.

Los entregables específicos, plazos y alcance se definen en tu propuesta o acuerdo individual.

3Propiedad del Sitio Web

Al recibir el pago completo de una fase del proyecto, el Cliente posee el 100% de los entregables producidos para esa fase. Visible Digital Media no retiene derechos de propiedad sobre entregables completados y pagados.

Los clientes pueden hospedar su sitio con cualquier proveedor o transferir a otra agencia después de completar el proyecto. Proveeremos todos los archivos y credenciales necesarios en 5 días hábiles después del pago final.

Antes del pago: Hasta recibir pago completo de una fase, todos los archivos, código, contenido e propiedad intelectual permanecen como propiedad exclusiva de Visible Digital Media.

4Términos de Pago

Servicios por proyecto: 50% de depósito no reembolsable antes de comenzar. Saldo restante por etapas según propuesta. Pago final antes del lanzamiento. Cada factura vence en 7 días.

Servicios mensuales: Facturación mensual por adelantado. Primer pago antes de comenzar. Pago vence en 7 días.

Pagos atrasados: Cargo del 1.5% mensual sobre saldos vencidos. Servicios suspendidos después de 14 días. Cuenta terminada después de 30 días.

5Política Sin Reembolsos

Todos los pagos a Visible Digital Media son finales y no reembolsables una vez que el trabajo ha comenzado. Esto incluye depósitos, pagos por etapas, tarifas mensuales y cualquier otro monto pagado.

En lugar de reembolsos, ofrecemos:

• Aprobación por Etapas: Apruebas cada fase antes de avanzar. Si algo está mal, lo arreglamos dentro de las revisiones incluidas
• Promesa de Corrección Gratis: Si genuinamente fallamos en entregar lo especificado en tu propuesta escrita, lo arreglaremos sin costo adicional
• Derechos de Cancelación: Puedes cancelar servicios mensuales futuros con aviso apropiado

6Revisiones y Cambios

Cada fase del proyecto incluye 2 rondas de revisiones gratuitas. Más allá de estas, los cambios adicionales se facturan a $95 por hora con mínimo de 30 minutos.

Revisión (gratis, incluida): Ajustes a trabajo ya entregado que se alinean con la especificación original.

Cambio (facturado por hora): Adiciones, eliminaciones o modificaciones fuera del alcance original.

7Servicios Mensuales y Cancelación

Todos los servicios mensuales operan mes a mes sin contratos largos. Para cancelar:

• Aviso escrito vía email a [email protected]
• 15 días de aviso requeridos antes del próximo mes
• Sin reembolsos parciales del mes en curso
• Entregables finales en 5 días hábiles después de la cancelación

Recomendamos compromiso mínimo de 6 meses para SEO para resultados adecuados, pero técnicamente puedes cancelar con el aviso apropiado.

8Responsabilidades del Cliente

El Cliente acepta proveer información precisa, revisar y aprobar entregables en 7 días hábiles, otorgar accesos necesarios, responder en 3 días hábiles, y no usar servicios para fines ilegales. Tras 7 días sin feedback, los entregables se consideran aprobados.

Retrasos del cliente mayores a 30 días pueden pausar el proyecto. Inactividad mayor a 90 días puede resultar en terminación sin reembolso.

9Presupuestos Publicitarios

Los presupuestos de publicidad pagada se gestionan directamente en las cuentas del Cliente. Visible Digital Media nunca controla fondos de publicidad. Nuestra tarifa de gestión PPC cubre solo estrategia, configuración y optimización.

10Descargo de Resultados SEO

Los resultados de SEO y marketing varían según factores fuera de nuestro control. NO garantizamos: rankings específicos, volúmenes de tráfico, leads o ingresos.

Sí nos comprometemos a: implementar mejores prácticas, seguir directrices de plataformas, proveer reportes mensuales transparentes y optimización continua.

11Propiedad Intelectual

Al recibir pago completo de la fase correspondiente, el trabajo personalizado se vuelve propiedad del Cliente. Excepciones: assets de stock con licencias propias, herramientas pre existentes de Visible Digital Media, software open source con licencias originales, y derechos de portafolio.

12Limitación de Responsabilidad

La responsabilidad total de Visible Digital Media está limitada al total de tarifas pagadas en los 3 meses anteriores al reclamo. No somos responsables de daños indirectos, incidentales, consecuenciales, especiales o punitivos.

13Confidencialidad

Ambas partes acuerdan mantener confidencial la información de negocio sensible durante y por 3 años después de la relación de servicio.

14Indemnización

El Cliente acepta indemnizar a Visible Digital Media por reclamos derivados de contenido proporcionado por el Cliente, información falsa, violación de leyes, violación de estos términos, o uso indebido de servicios.

15Ley Aplicable

Estos Términos se rigen por las leyes de Estados Unidos. Las disputas se resuelven mediante: 1) comunicación de buena fe en 30 días, 2) mediación si falla, 3) arbitraje vinculante si la mediación falla. El Cliente renuncia al derecho de demandas colectivas.

16Cambios a Estos Términos

Nos reservamos el derecho de modificar estos términos. Los clientes activos serán notificados por email al menos 14 días antes. El uso continuo después de cambios constituye aceptación.
